Agreement to Terms
By accessing or using the services provided by RMonaghan Venture Studios LLC ("we," "us," or "our"), including our website and mobile applications (such as VerbaLearn), you agree to be bound by these Terms of Use. If you do not agree to these terms, please do not use our services.
Use of Services
Permitted Use
You may use our services for lawful purposes only. You agree not to:
- Use our services for any illegal or unauthorized purpose
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt our services
- Reproduce, distribute, or create derivative works without permission
- Use automated systems to access our services without consent
User Accounts
Some of our services may require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
Intellectual Property
All content, features, and functionality of our services, including but not limited to text, graphics, logos, icons, images, audio clips, and software, are the exclusive property of RMonaghan Venture Studios LLC and are protected by copyright, trademark, and other intellectual property laws.
User Content
When you submit content through our services (such as study materials in VerbaLearn), you retain ownership of your content. However, you grant us a license to use, store, and process that content to provide our services.
You are solely responsible for the content you submit and represent that you have all necessary rights to submit such content.
Subscriptions and Payments (Applications)
Some features of our applications may require a paid subscription. Payment processing is handled through Apple's App Store and RevenueCat. Subscription terms, pricing, and cancellation policies are governed by those platforms' terms of service.
Website & Marketing Services
The following terms govern website design, development, hosting, and marketing services purchased from RMonaghan Venture Studios LLC (including purchases made through Stripe payment links on this website). Where a signed service agreement or written scope exists for your project, that document controls over this section.
Kickoff and Delivery Timeline
Advertised delivery timelines (for example, "five days") mean five business days from kickoff. Kickoff occurs once we have received (a) the applicable deposit or payment and (b) the required client materials: business details, logo or brand assets if available, photos, service descriptions, and access to any existing domain or accounts we must work with. Delays in providing required materials or approvals extend the timeline accordingly and do not constitute a breach by RMVS.
Scope, Revisions, and Changes
Each build includes the pages and features stated in its offer description and up to two rounds of revisions before launch. Additional revision rounds, new pages, or features beyond the stated scope are quoted separately before any work begins. Monthly plans include only the deliverables listed in the plan description; work beyond that scope is out-of-scope and quoted separately.
Deposits, Cancellation, and Refunds
Deposits reserve a build slot and start the project clock. If you cancel before kickoff, your deposit is refundable minus any payment-processing fees. After kickoff, deposits are non-refundable to the extent work has been performed. Monthly plans may be cancelled at any time with 30 days' written notice; you retain your site, domain, content, and accounts after cancellation. Third-party fees (domain registration, ad spend, software subscriptions) already incurred are non-refundable.
Advertising and Third-Party Costs
Advertising spend is always separate from management fees and is billed directly to your own ad accounts. Third-party services (domains, hosting where applicable, software tools, AI-agent usage) may carry their own costs, which are disclosed before they are incurred and passed through at cost unless stated otherwise.
Ownership
Upon full payment, you own your domain, website files, content, creative produced for you, and the accounts created for your business (hosting, analytics, booking, ads). We receive every login on your behalf during the engagement and hand all credentials to you. RMVS retains ownership of its internal tooling, templates, and processes.
Client Content and Claims
You are responsible for the accuracy and legality of the content, claims, credentials, licenses, and testimonials you supply for your website and advertising, and you represent that you have the rights to all materials you provide. You agree to indemnify RMVS against claims arising from client-supplied content or claims.
Portfolio Display
Unless you request otherwise in writing, RMVS may display completed work (including screenshots and a link to your live site) in its portfolio and marketing materials.
Results Disclaimer and Warranty
We build to conversion best practices, but no specific volume of traffic, leads, rankings, or revenue is guaranteed. Each launched website includes a 30-day post-launch window during which we fix defects in the delivered work (bugs, broken links, configuration errors) at no charge; this does not cover new feature requests or changes to scope.
Disclaimer of Warranties
Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, error-free, or completely secure.
Limitation of Liability
To the maximum extent permitted by law, RMonaghan Venture Studios LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services.
Indemnification
You agree to indemnify and hold harmless RMonaghan Venture Studios LLC and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of our services or violation of these terms.
Changes to Terms
We reserve the right to modify these Terms of Use at any time. We will notify users of material changes by posting the updated terms on our website. Your continued use of our services after such changes constitutes acceptance of the new terms.
Governing Law
These Terms of Use shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, United States, without regard to its conflict of law provisions.
